Bhd. entered into a non-binding Letter of Intent (\u201cLOI\u201d) for the acquisition of 51% of the issued and outstanding capital stock of DSY Wellness &amp; Longevity Center Sdn. Bhd. and DSY Medical Education Sdn. Bhd. (the \u201cTarget Shares\u201d).<\/p>\n<p>Subject to the terms and conditions, the Company will issue and allot its common stock to the Sellers and the Company will purchase the Target Shares.
